1. Acceptance of Terms

By accessing, browsing, or using the MyCrew platform, website, mobile application, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or rules applicable to specific features of the Service.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service. Your continued access to or use of the Service following the posting of any changes to these Terms constitutes your binding acceptance of such changes.

MyCrew reserves the right to modify, amend, or update these Terms at any time and at its sole discretion. Material changes will be communicated by updating the "Last updated" date at the top of this page. It is your responsibility to review these Terms periodically. Changes become effective immediately upon posting unless stated otherwise.

2. Description of Service

MyCrew operates an online recruitment and networking platform designed specifically for the superyacht and maritime industry. The Service facilitates connections between yacht crew members, captains, vessel managers, and recruiters. Features of the Service include, but are not limited to:

• Creation and management of professional profiles for crew members, captains, and recruiters
• A card-based discovery and matching system for crew browsing and recruitment
• In-platform messaging between matched users
• Job listing creation, publication, and application management
• Vessel registration and fleet management tools
• Subscription-based access to premium features and enhanced visibility
• Document and certification management

MyCrew acts solely as an intermediary platform and marketplace. We do not employ, recruit, or place crew members. We do not act as an employment agency, staffing firm, or recruitment consultancy. MyCrew does not participate in, mediate, or guarantee any employment relationship, contract, or agreement between users of the platform. All hiring decisions, employment terms, compensation arrangements, and working conditions are solely between the relevant parties.

MyCrew does not independently verify, validate, or guarantee the accuracy, completeness, or truthfulness of any information, credentials, certifications, qualifications, references, work history, or other content provided by users. Users are solely responsible for conducting their own due diligence, background checks, and verification of any information obtained through the Service before entering into any agreement, employment relationship, or business arrangement.

3. Eligibility

The Service is available only to individuals who are at least 18 years of age and who have the legal capacity to enter into binding agreements under applicable law. By creating an account or using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity and authority to enter into these Terms
• You are not prohibited from using the Service under any applicable law or regulation
• If acting on behalf of a company, organisation, or other legal entity, you have full authority to bind that entity to these Terms
• All information you provide during registration and use of the Service is accurate, current, and complete

MyCrew reserves the right to refuse service, terminate accounts, or restrict access to any person for any reason at its sole discretion, including without limitation for failure to meet these eligibility requirements.

4. User Accounts and Security

To access the features of the Service, you must create an account using a valid email address or third-party authentication provider. You agree to:

• Provide accurate, truthful, current, and complete information during registration and at all times thereafter
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials and not share them with any third party
• Accept full responsibility for all activities, actions, and transactions that occur under your account, whether or not authorised by you
• Notify MyCrew immediately of any unauthorised use of your account or any other breach of security
• Not create more than one personal account or create an account on behalf of another person without their express permission

MyCrew shall not be liable for any loss, damage, or harm arising from your failure to maintain the security of your account credentials. You are solely responsible for any consequences resulting from unauthorised access to your account due to your negligence or failure to safeguard your login information.

5. User Conduct and Prohibited Activities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:

• Use the Service for any purpose that is unlawful, fraudulent, deceptive, or harmful, or in connection with any unlawful, fraudulent, deceptive, or harmful activity
• Upload, post, or transmit false, misleading, inaccurate, or fraudulent information, including but not limited to falsified certifications, qualifications, work history, references, or identity information
• Impersonate any person or entity, or falsely state or otherwise misrepresent your identity, affiliation, or relationship with any person or entity
• Harass, abuse, threaten, stalk, intimidate, defame, or discriminate against other users on the basis of race, ethnicity, gender, sexual orientation, religion, nationality, disability, age, or any other protected characteristic
• Send unsolicited commercial messages, advertisements, spam, or promotional material through the messaging system or any other feature of the Service
• Collect, harvest, or store personal information of other users without their express consent
• Use automated means, including bots, crawlers, scrapers, spiders, or other automated tools, to access, monitor, or copy any content or data from the Service
• Attempt to gain unauthorised access to any accounts, computer systems, networks, or data connected to the Service
• Interfere with, disrupt, or place an unreasonable load on the Service, its servers, networks, or infrastructure
• Upload or transmit any viruses, malware, trojans, worms, or other malicious code or harmful technology
• Circumvent, disable, or otherwise interfere with any security features, access controls, or technical measures of the Service
• Use the Service to facilitate money laundering, terrorist financing, human trafficking, or any other criminal activity
• Upload content that is illegal, harmful, threatening, abusive, defamatory, obscene, invasive of privacy, or otherwise objectionable
• Sublicense, sell, resell, transfer, assign, or distribute the Service or any rights granted under these Terms
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service

MyCrew reserves the right to investigate any suspected violation of these Terms and to take any action it deems appropriate, including but not limited to suspending or permanently terminating your account, removing offending content, and reporting illegal activity to the relevant law enforcement authorities.

6. Content and Intellectual Property

Your content: You retain full ownership of all content you create, upload, or submit to the Service, including but not limited to profile information, photographs, documents, certifications, CVs, references, vessel details, and messages ("User Content"). By uploading or submitting User Content, you grant MyCrew a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, modify, and create derivative works from such User Content solely for the purposes of providing, operating, improving, and promoting the Service. This licence continues until you delete your User Content or terminate your account, except that User Content shared with other users (such as messages) may persist in those users' accounts.

Responsibility for content: You are solely responsible for all User Content you upload, post, or transmit through the Service. You represent and warrant that you own or have all necessary rights, licences, consents, and permissions to submit your User Content and to grant the licence described above. You further represent that your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other legal rights.

Our content: The MyCrew name, logo, trademarks, service marks, branding, visual design, user interface, software code, algorithms, databases, and all associated intellectual property (collectively, "MyCrew Content") are the exclusive property of MyCrew and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, reproduce, modify, adapt, translate, distribute, transmit, display, perform, create derivative works from, or otherwise exploit any MyCrew Content without our express prior written consent.

Content moderation: MyCrew does not pre-screen or routinely monitor User Content but reserves the right, at its sole discretion, to review, edit, refuse to post, or remove any User Content that violates these Terms or that MyCrew considers objectionable, inappropriate, or harmful, without notice and without liability to you.

7. Subscriptions, Payments, and Billing

MyCrew offers both free and paid subscription plans. By selecting and subscribing to a paid plan, you agree to the following:

• You authorise MyCrew to charge the applicable subscription fees to your designated payment method at the time of purchase and on each subsequent renewal date
• Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless cancelled by you before the renewal date
• You are responsible for providing accurate, current, and complete billing and payment information
• All fees are stated in the currency displayed at the time of purchase and are inclusive of applicable taxes unless stated otherwise
• MyCrew reserves the right to change subscription pricing at any time, with notice provided before the next billing cycle

Payment processing: All payment transactions are processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. MyCrew does not store, process, or have access to your full credit card number, CVV, or other sensitive payment credentials. Your payment information is transmitted directly to and securely stored by Stripe in accordance with their security policies.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current paid billing period, after which it will not renew. No partial refunds will be provided for unused portions of a billing period.

Refunds: Refund requests are handled on a case-by-case basis at MyCrew's sole discretion. If you believe you are entitled to a refund due to a technical error, billing mistake, or other valid reason, please contact us at hello@mycrew.now within 14 days of the charge.

Free tier: MyCrew may offer certain features at no cost. We reserve the right to modify, limit, or discontinue free features at any time without notice or liability.

8. Third-Party Services and Links

The Service may integrate with, link to, or rely upon third-party services, platforms, and websites, including but not limited to Clerk (authentication), Stripe (payments), and email service providers. MyCrew does not control, endorse, or assume responsibility for the content, privacy practices, security, availability, or policies of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions and privacy policy.

MyCrew shall not be liable for any loss, damage, or harm arising from your use of or reliance on any third-party services, whether or not accessed through the Service.

9. Disclaimers and Warranty Exclusions

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, MyCrew expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components
• Any warranty regarding the accuracy, reliability, completeness, or currency of any information, content, or data provided through the Service
• Any warranty that the Service will meet your requirements, expectations, or intended purposes
• Any warranty regarding the conduct, character, qualifications, credentials, or suitability of any user of the Service

MyCrew does not screen, vet, interview, background-check, or verify the identity, credentials, certifications, employment history, qualifications, criminal record, or character of any user. You are solely responsible for exercising due diligence and caution when interacting with other users, and for independently verifying any information, credentials, or claims made by other users before entering into any employment relationship, business arrangement, or personal interaction.

No advice, information, or statement obtained from MyCrew, its employees, affiliates, or through the Service shall create any warranty not expressly stated in these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYCREW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY OF THE FOLLOWING:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind
• Loss of profits, revenue, business, goodwill, data, or anticipated savings
• Personal injury, property damage, or emotional distress
• Damages arising from your use of or inability to use the Service
• Damages arising from the conduct, actions, or omissions of any other user of the Service, whether online or offline
• Damages arising from any employment relationship, contract, or arrangement facilitated through the Service
• Damages arising from unauthorised access to or alteration of your data, transmissions, or content
• Damages arising from any third-party services, content, or websites accessed through the Service

MYCREW'S TOTAL AGGREGATE LIABILITY for any and all claims arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the total amount you have paid to MyCrew in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred euros (EUR 100).

These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, warranty, or otherwise, and even if MyCrew has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, MyCrew's liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyCrew and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

• Your access to or use of the Service
• Your User Content or any content you submit, post, or transmit through the Service
• Your violation of these Terms or any applicable law, regulation, or third-party rights
• Your negligent, fraudulent, or intentional misconduct
• Any dispute between you and any other user of the Service
• Any employment relationship, contract, or arrangement arising from your use of the Service

MyCrew reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with MyCrew in asserting any available defences.

12. Termination

By you: You may terminate your account at any time by contacting us at hello@mycrew.now or by requesting account deletion through your account settings. Upon termination, your right to access and use the Service ceases immediately.

By MyCrew: MyCrew may, at its sole discretion and without prior notice, suspend, restrict, or permanently terminate your account and access to the Service for any reason, including but not limited to:

• Violation of these Terms or any applicable law or regulation
• Fraudulent, abusive, or illegal activity
• Conduct that is harmful to other users, third parties, or the reputation of MyCrew
• Extended periods of account inactivity
• Any other reason MyCrew deems necessary to protect the integrity and safety of the Service

Effect of termination: Upon termination, all licences and rights granted to you under these Terms shall immediately cease. MyCrew may, but is not obligated to, delete your User Content and account data. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

Termination of your account does not relieve you of any obligation to pay outstanding fees or charges incurred prior to termination. No refunds will be provided for any unused portion of a subscription period following termination for cause.

13. Dispute Resolution

Informal resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through good-faith informal negotiation by contacting MyCrew at hello@mycrew.now. MyCrew will make reasonable efforts to resolve the dispute informally within thirty (30) days of receiving your notice.

Binding arbitration: If informal resolution fails, any dispute shall be finally resolved by binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction where MyCrew operates, unless you reside in a jurisdiction that grants you the right to bring proceedings in your local courts, in which case that right shall be preserved.

Class action waiver: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be deemed void.

14. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the European Union and the applicable national law of the jurisdiction in which MyCrew is established, without regard to conflict of law principles.

For users residing in the European Economic Area (EEA), nothing in these Terms affects your statutory rights as a consumer under applicable EU consumer protection laws, including Directive 2011/83/EU on consumer rights. If you are a consumer in the EEA, you may bring proceedings in the courts of your country of residence.

15. Force Majeure

MyCrew shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond MyCrew's reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, pandemics, epidemics, government actions, sanctions, embargoes, labour disputes, strikes, power failures, internet or telecommunications outages, cyberattacks, or failures of third-party service providers.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Waiver

The failure of MyCrew to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorised representative of MyCrew. Any waiver of any provision of these Terms shall not be construed as a continuing waiver or a waiver of any other provision.

18. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without the prior written consent of MyCrew. MyCrew may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without your consent and without notice, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein or presented to you during your use of the Service, constitute the entire agreement between you and MyCrew regarding your use of the Service. These Terms supersede all prior and contemporaneous agreements, proposals, representations, warranties, understandings, and communications between you and MyCrew, whether written or oral, relating to the subject matter hereof.
